Terms of use

Who we are and what these terms cover

SeasonalEdge (the “Service”), at seasonaledge.com, is operated by [COMPANY LEGAL NAME], a [STATE] limited liability company (“we”, “us”). These terms are an agreement between you and us. By creating an account or using the Service you accept them, together with the privacy policy and the notice on hypothetical performance on this page.

What the Service is, and what it is not

The Service is research software. It measures how US stocks and ETFs behaved around recurring calendar dates in the past, and shows those measurements as hypothetical, simulated results.

The Service is not investment advice, a recommendation, or an offer to buy or sell any security. We are not a broker, an investment adviser or a portfolio manager. We do not know your finances, goals or tolerance for risk, and we place no orders. Every decision to trade, and its result, is yours alone.

Nothing in the Service is a forecast. Calendar patterns can weaken or stop, and several already have. Read the notice on hypothetical performance before you rely on any figure.

Your account

You must be at least 18 years old and able to form a binding contract to create an account.

An account is for one person. Give an email address you control, keep your password to yourself, and tell us at [CONTACT EMAIL] if you think someone else has used your account. You are responsible for what is done through it.

We use your email address to confirm the account, to reset your password, and to tell you about your account, these terms and changes to the Service.

Membership and payment

Parts of the Service may require a paid membership. Until membership opens, no payment is taken. When it opens:

  • The price and what the membership includes are shown before you pay.
  • The membership renews automatically each month, and is charged to your payment method through our payment processor, Stripe, until you cancel.
  • You can cancel at any time from your account. Cancelling takes effect at the end of the period already paid, and you keep access until then. Except where the law requires otherwise, payments are not refunded for part of a period.
  • We may change the price for future periods. We will email you at least [NOTICE PERIOD] days before a new price applies to your next renewal, and you can cancel before it does.
  • Prices exclude taxes unless stated. Taxes are added where the law requires.

How you may use the Service

The Service is for your own research. You agree not to:

  • copy, resell, publish or redistribute the Service’s data, figures or exports, beyond your own use;
  • reach the Service by scraping, bots or other automated means, other than the exports it offers;
  • share your account or let anyone else use it;
  • get around or test access controls, limits or a hold on an account, or disrupt the Service;
  • reverse engineer the Service, except where the law allows it;
  • use the Service for anything unlawful, including manipulating a market.

Market data and exports

Prices come from third-party data providers. They can be late, incomplete or wrong, and we do not guarantee them. The providers keep their rights in their data, which is one reason the Service is for your own use only.

Exports, such as code for a trading platform, are built from the same hypothetical figures. Check an export yourself before you use it, and try it on a simulated account first.

Our rights

The Service, its software, design, text and the figures it computes belong to us or our licensors. We give you a personal, non-exclusive, non-transferable licence to use the Service under these terms, which ends when your account ends.

Holds, suspension and closing an account

You can stop using the Service at any time, and ask us to delete your account from your account page.

We may put your account on hold or close it if you break these terms, if a payment fails, or if the law requires it. Where it is reasonable, we tell you why.

We may change or remove features. If we close the whole Service, we refund the unused part of any period you paid for.

No warranty

The Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim every warranty, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the Service will be uninterrupted, timely or free of errors.

Limits on our liability

To the fullest extent the law allows, we are not liable for any trading or investment loss, lost profit, or indirect, incidental, special or consequential damage that comes from using the Service or relying on its figures.

Our total liability for all claims about the Service is limited to the greater of what you paid us in the 12 months before the claim and [LIABILITY FLOOR].

Some places do not allow these limits. There, they apply only as far as the law allows. Nothing in these terms limits a liability that the law does not allow to be limited.

Your responsibility to us

You agree to cover our reasonable losses, including legal fees, from a claim by someone else that results from your breaking these terms or misusing the Service.

Changes to these terms

We may update these terms. We will tell you about a material change by email or in the Service at least [NOTICE PERIOD] days before it takes effect. If you keep using the Service after that, the new terms apply; if you do not accept them, cancel and stop using the Service.

Law and disputes

These terms are governed by the laws of [GOVERNING LAW], without regard to its rules on conflicts of law. Disputes go to the courts of [VENUE], unless the law of the country where you live gives you the right to bring a claim there.

General

These terms, the privacy policy and the notice on hypothetical performance are the whole agreement between you and us about the Service. If a part of them cannot be enforced, the rest still applies. Not enforcing a right is not giving it up. We may transfer these terms to a company that takes over the Service; you may not transfer them.

Privacy policy

Who is responsible

[COMPANY LEGAL NAME] (“we”) is responsible for the personal data processed through SeasonalEdge. Write to [PRIVACY EMAIL] about anything in this policy.

What we collect

  • Your account: your email address; your password, stored only as a salted hash that cannot be read back; whether your email is confirmed; when you accepted these documents; and the account’s role and status.
  • Continue with Google, if you use it: the email address, name and profile picture link of your Google account, Google’s identifier for you, and the sign-in tokens Google issues. We do not receive your Google password, and we use the tokens for nothing but signing you in.
  • Your sessions: for each device you sign in on, its IP address, a description of its browser, and when the session started and ends. Your account page lists them.
  • Security records: recent attempts to sign in, sign up or reset a password, counted per IP address to stop abuse; a record of each time you sign in, with the IP address and a description of the browser; and a record of every action we take on your account, such as a hold, with its reason.
  • Emails we send you: the address, subject and text, kept by our mail system while it delivers them.
  • Server logs: for each request, the IP address, the time, the page or endpoint asked for and the response.
  • Payment, once membership opens: Stripe collects your card details directly, and we never see or store your full card number. Stripe tells us your customer reference, the state of your membership, its dates, and your invoices.

The research pages you open are answered by our servers and are not stored against your account. What you follow, your recent symbols, your theme and your table settings stay in your browser’s local storage and are not sent to us.

We do not ask for sensitive data, such as health or political opinions, and we do not knowingly collect data from anyone under 18.

Why we use it

  • To create and run your account: confirming your email, signing you in, resetting your password and showing your devices. We need this to provide the Service you signed up for.
  • To keep the Service and your account secure: limits on attempts, holds, and server logs. This is our legitimate interest in protecting the Service and its readers.
  • To charge for membership and keep accounting and tax records, once membership opens. This is needed for our contract with you and by law.
  • To email you about your account, these documents and changes to the Service. We send no marketing email unless you agree to it.

We do not sell or rent personal data, we do not share it for advertising, and we make no automated decision about you that has a legal or similarly significant effect.

Who receives it

These providers process personal data for us, under contracts that limit them to our instructions:

  • Hostinger, which runs our servers ([SERVER LOCATION]).
  • Resend, which delivers our emails ([RESEND REGION]).
  • Cloudflare, which stores our offsite backups.
  • Google, only if you choose Continue with Google.
  • Stripe, which handles payments once membership opens.

We also disclose data when the law requires it, to protect our rights or someone’s safety, or to a company that takes over the Service, which must then honour this policy.

Transfers outside your country

Our providers may process data outside the country where you live, including in the United States. Where the law requires it, these transfers rely on safeguards such as the EU’s standard contractual clauses or the EU-US Data Privacy Framework.

How long we keep it

  • Account data: while your account exists.
  • When an account is deleted, its sign-in details, sessions and Google link are removed at once. We keep a record that the account existed, with the email address replaced by “deleted”, and the record of actions on it, for [AUDIT RETENTION].
  • Sessions: they end 7 days after the device was last used.
  • Sign-in records: 90 days; the time of your last sign-in is kept while your account exists.
  • Security counts: [RATE LIMIT RETENTION].
  • Emails: deleted from our systems 7 days after they were sent; Resend keeps its delivery logs for up to 30 days.
  • Server logs: [LOG RETENTION].
  • Backups: replaced on a rolling basis, each kept at most [BACKUP RETENTION].
  • Payment and invoice records: as long as tax law requires, [BILLING RETENTION].

Your rights

Depending on where you live, you can ask to see the personal data we hold about you, correct it, delete it, receive a copy of it, restrict or object to how we use it, and withdraw a consent you gave. Write to [PRIVACY EMAIL] from your account’s email address; we answer within one month, or sooner where your law says so. You can also ask for your account to be deleted from your account page.

If you live in the European Economic Area, the United Kingdom or Israel, you can also complain to your data protection authority; in Israel, that is the Privacy Protection Authority.

If you live in California or another US state with a privacy law: we do not sell or share personal information as those laws define it, and we will not treat you differently for using your rights.

Cookies and local storage

We set one cookie: your session, after you sign in (better-auth.session_token, or __Secure-better-auth.session_token on the secure site). It is needed for signing in and ends with your session. We use no analytics, advertising or tracking cookies, and load no third-party script that tracks you.

Your browser’s local storage keeps your settings: theme, table columns, your round-trip cost, what you follow and your recent symbols. They are not sent to us; clearing the site’s data in your browser removes them.

Security

Passwords are stored as salted hashes, every connection uses HTTPS, sign-in tokens expire after 15 minutes, and only the operator can reach production data. No system is perfectly secure; if a breach affects your data, we will tell you and the authorities where the law requires it.

Changes and contact

We will post any change to this policy here and email you before a material change takes effect. Questions and requests: [PRIVACY EMAIL], or [COMPANY LEGAL NAME], [POSTAL ADDRESS].

Notice on hypothetical performance

Every figure is hypothetical

Every return, hit rate, equity curve, excess and other figure in SeasonalEdge is hypothetical. It shows what would have happened if a rule had been followed in the past, computed from historical prices. No account traded it, and no money was made or lost.

No representation is made that any account will or is likely to achieve profits or losses similar to those shown. There are frequently sharp differences between hypothetical results and the results later achieved by actual trading.

Why hypothetical results mislead

  • Hindsight: the results are computed after the fact, on prices that are already known.
  • They leave out real trading: whether orders would have been filled at the prices used, how much money you could have kept at risk, and how you would have acted through a run of losses.
  • Many rules were tried: the rules shown were found by testing a great many possible rules on the same history. Some look strong by chance alone, and those are the most likely to disappoint.
  • Survivorship: the stocks studied are those listed today. Companies that were delisted, merged or went bankrupt are missing from the history, which tends to make past results look better than they were.

Returns are gross

Every return is gross: it leaves out broker fees, taxes, the gap between buying and selling prices, and every other cost of trading. The Service shows a break-even cost beside each rule. If a round trip costs you more than this, the average trade loses money.

After the research cutoff

Rules are found on prices up to the research cutoff. What they did after it, shown as the Track Record, is computed the same way and is just as hypothetical: no account traded it either.

Risk

Trading stocks and ETFs can lose you money, and trading on margin or with leverage can lose you more than you put in. Trade only with money you can afford to lose, and consider advice from a licensed professional who knows your situation.
